Result of Annual General Meeting and Board Changes

Smart Metering Systems plc (AIM: "SMS", "the Group"), which installs and manages smart meters and carbon reduction assets ("CaRe(1)") to facilitate effective energy management , announces that at the AGM held earlier today all the resolutions put to the meeting were duly passed apart from resolution 13 (which had sought to amend the articles of association of the Company to allow general meetings of the Company to be held by electronic means).

 

The Company also confirms the previously announced resignation of Willie MacDiarmid as a Non-Executive Director and Chairman of the Company with effect from 23 June 2020. Miriam Greenwood will assume the duties of Chairman, Chair of the Nomination Committee and Chair of the Health, Safety and Sustainability Committee. SMS would like to thank Mr. MacDiarmid for his valuable contribution to the Company and wish him all the best going forward.

 

As previously announced, Graeme Bissett becomes the Senior Independent Director and Jamie Richards has assumed the role of Chairman of the Remuneration Committee with effect from today.
