Abdiel Capital LP and Abdiel Qualified Master Fund LP (as listed in Section 4 of this form) directly hold 0.268% and 2.748% in Smart Metering Systems Plc, respectively. The General Partner to each of these funds is Abdiel Capital management, LLC. The General Partner has appointed Abdiel Capital Advisors, LLC as the investment manager of the funds. Colin Moran is the controller of Abdiel Capital Advisors, LLC. Accordingly, Abdiel Capital Management, LLC, Abdiel Capital Advisors, LLC and Colin Moran are each deemed to indirectly hold 3.016% in the voting rights of Smart Metering Systems Plc (this form is submitted on behalf of these entities/person listed).
