                   DS SMITH ACQUISITION OF LINPAC CONTAINERS


DS Smith, the international packaging manufacturer and office products
wholesaler, confirms that at an extraordinary general meeting held today the
shareholders of DS Smith voted in favour of the resolution to approve the
proposed acquisition of LINPAC Containers Limited.

Following this approval by shareholders the acquisition was duly completed
today.
