                          DS Smith Plc (the 'Company')


In pursuance of the Company's obligations under Section 329 of the Companies Act
1985 and Disclosure Rule 3.1.4R (i)(a), the Company hereby notifies that the
following Directors' share transactions occurred on 26 July 2007.


1) The Directors listed below notified the Company on 26 July 2007 that, as a
result of being granted an award under the DS Smith Deferred Share Bonus Plan
('the Bonus Plan'), they have each acquired a conditional right to receive the
number of ordinary shares of 10p each of the Company ('Shares') listed below.


The awards under the Bonus Plan referred to above will normally vest on the
third anniversary of the date of grant, being 26 July 2010.

2) The Directors listed above also notified the Company on 26 July 2007 that, as
a result of a purchase on 26 July 2007 by David S Smith Employee Benefit Trust
Ltd as the Trustees of the David S Smith Employee Benefit Trust (the 'Trust') of
94,754 Shares at 238.7p per Share, they should now be regarded as being
interested in the Trust's total holding of 1,922,378 shares. With the exception
of items referred to in 1) above, these interests arise merely because the
Directors are (together with other Group employees) potential beneficiaries of
the Trust.

3) The Directors listed below notified the Company on 26 July 2007 that, as a
result of being granted awards under the DS Smith Long Term Incentive Plan (the
'LTIP'), they have each acquired a conditional right to receive the number of
Shares indicated below.

The awards were granted by reference to the closing middle market quotation of a
Share on 25 July 2007 of 238.25 pence, and operate subject to the conditions set
out in the rules of the LTIP. They will normally vest, subject to the
satisfaction of performance conditions, on the third anniversary of the date of
grant, being 26 July 2010.
