                  DISCUSSIONS WITH BEIERSDORF

Smith & Nephew plc, the global medical device company,
announces that it is in discussions with Beiersdorf AG
regarding possible co-operation in certain complementary areas
of their businesses.  The scope of the discussions involves
possible joint ventures and transfers of parts of the
businesses concerned, consistent with Smith & Nephew's
strategy of reshaping its overall business.  There can be no
certainty that the discussions will be concluded successfully
and a further announcement is not expected until late in the
second quarter of this year.
