NOTIFICATION OF TRANSACTIONS OF DIRECTOR AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY (PDMRs) PURSUANT TO DTR 3.1.4R(1)(a)

On 15 November 2010 the conditional share awards granted under the Smiths Group Performance Share Plan (PSP) on 13 November 2007 partially vested in accordance with the PSP rules.  The TSR element of each award (which element constituted one third of the total award) vested in full and the EPS element of each award (being two-thirds of the total award) vested in part with 68.5% of the element being realised and 31.5% lapsing.  As a consequence of the partial vesting, the PDMRs of the Company listed in the table below received the number of ordinary shares of 37.5p in Smiths Group plc (Shares) shown in Col. C against their names, in satisfaction of their respective awards.  The numbers of Shares comprising the part of the  EPS elements of the awards that lapsed are shown in Col. F.  Also on 15 November 2010, these individuals sold in the market the number of Shares shown in Col. D against their names, in order to finance the cost of income tax and NIC or social security charges that they have incurred as a result of their awards vesting.  The sale price of these Shares was 1194.5069 pence per share.

The resulting interests in shares held by those PDMRs included in the table after the transactions referred to are shown in Col. E of the table.
