NOTIFICATION OF TRANSACTIONS OF DIRECTOR AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY (PDMRs) PURSUANT TO DTR 3.1.4R(1)(a)

On 5 November 2009 the conditional share awards granted under the Smiths Group Performance Share Plan (PSP) on 29 September 2006 partially vested in accordance with the PSP rules. The TSR element of each award (which element constituted one third of the total award) vested in part with 47% of the element being realised and 53% lapsing but the EPS element of each award (being two-thirds of the total award) failed to vest and lapsed in its entirety. As a consequence of the partial vesting, the Director and PDMRs of the Company listed in the table below received the number of ordinary shares of 37.5p in Smiths Group plc (Shares) shown in Col C against their names, in satisfaction of their respective awards. The aggregate number of shares that comprised the parts of the two elements of the awards that lapsed is shown in Col G. Also on 5 November 2009, these individuals sold in the market the number of Shares shown in Col E against their names, in order to finance the cost of income tax and NIC or social security charges that they have incurred as a result of their awards vesting. The sale price of these Shares was 920.0182 pence per share.
