ANNOUNCEMENT OF RESULTS AND RECOMMENDATION OF DIVIDEND

It is expected that a duly constituted committee of the Board will meet on
Wednesday 25 September 2002 for the purposes of (i) approving a preliminary
announcement of the results of the Company for the 52 weeks ended 31 July 2002
and (ii) recommending a final dividend on the ordinary shares for the same
period.

Subject to approval at the Annual General Meeting, the 2002 final dividend will
be paid on 15 November 2002 to ordinary shareholders registered at the close of
business on 18 October 2002. The 'ex-dividend' date will be 16 October 2002.


ANNUAL GENERAL MEETING

The Annual General Meeting of Smiths Group plc for 2002 will be held at 12:00
noon on Tuesday 12 November 2002 at the offices of J P Morgan plc, 10
Aldermanbury, London EC2V 7RF.
