Blocklisting

A block listing Application has been made to the Irish Stock Exchange and to the UK Listing Authority for 10,000,000 ordinary shares of nominal value of €0.001 each in the capital of Smurfit Kappa Group plc ("Ordinary Shares") to be admitted to the Official List of the UK Listing Authority and to the Official List of the Irish Stock Exchange and application has been made to the Irish Stock Exchange and the London Stock Exchange for these shares to be admitted to trading.  Admission is expected to take place by 10 May 2013.

407,676 Ordinary Shares will be allotted from time to time following the conversion of convertible shares pursuant to the Company's MDP Management Equity Plan; 2,177,949 Ordinary Shares will be allotted from time to time following the conversion of convertible shares pursuant to the Company's Share Incentive Plan 2007; 7,163,670 Ordinary Shares will be allotted from time to time pursuant to the Company's 2011 Deferred Annual Bonus Plan; and 250,705 Ordinary Shares will be allotted from time to time pursuant to the exercise of warrants.
