Electrica's 2023 Annual Report

Starting with 29 April 2024 Electrica's 2023 Annual Report, in unique electronic reporting format ESEF, is available, in Romanian and English, in electronic format, on Electrica's website, at www.electrica.ro, in the "Investors > Results and Reports > Annual Reports" section: https://www.electrica.ro/en/investors/results-and-reports/annual-reports/.

Electrica informs the investors as well that the 2023 Annual Report, prepared in compliance with the requirements of art. 65 of Law no. 24/2017 is available, in Romanian and English, on Electrica's website, at www.electrica.ro, in the "Investors > Results and Reports > Annual Reports" section: https://www.electrica.ro/en/investors/results-and-reports/annual-reports/, as well as in the link attached to the current announcement. ·    2023 Director's Report;

·    Explanations Regarding the Differences Between the Consolidated Financial Statements OMFP 2844/2016 vs IFRS-EU and Regarding the Restatement of the IFRS 2022 Financial Statements;

·    2023 Separate Financial Statements, accompanied by the independent auditor's report on the separate financial statements 2023;

·    Consolidated financial statements 2023 prepared in accordance with OMFP 2844/2016, accompanied by the independent auditor's report on the consolidated financial statements 2023 prepared in accordance with OMFP 2844/2016;

·    Consolidated financial statements 2023 prepared in accordance with IFRS-EU, accompanied by the independent auditor's report on the consolidated financial statements 2023 prepared in accordance with IFRS-EU;

·    Statement of the Management;

·    The Articles of Association of the Company updated following the decision of the Extraordinary General Meeting of Shareholders of 22 November 2023;

·    Current report dated 15 May 2023 (Cod BVB:IRIS 012E4, Cod LSE:RNS 4831Z) communicating that the Board of Directors took note of the of the cessation de jure of the mandate agreement   of a director;

·    Current report dated 7 June 2023 (Cod BVB:IRIS 1F937, Cod LSE:RNS 9964B) communicating that the mandate agreement of the Chief Information Officer, was effectively terminated upon lapse of the 4-year duration;

·    We specify that the information regarding the list of the subsidiaries and controlled entities of Electrica S.A. can be found in the annual report, pages 56-58.
