Notification of Transactions by

Persons Discharging Managerial Responsibilities and Persons Closely Associated with them

The following notification is made under article 19.1 of the Market Abuse Regulation ("MAR") and relates to the exercise of nil-cost options by persons discharging managerial responsibilities ("PDMR") on 26 November 2021. In November 2018, an Award was made under the Softcat Long Term Incentive Plan (LTIP) to the PDMR named below. The LTIP award has now vested and has been exercised by the PDMR. A sufficient portion of the Ordinary Shares ("Shares") has been sold to cover the PDMR's tax liabilities which have arisen as a result of the exercise. The remaining Shares have been retained by the PDMR.
