Reference is made to the stock exchange notice dated 14 June 2016 and the preliminary result of the Subsequent Offering (the "Subsequent Offering") of up to 1,418,100,000 new shares in Songa Offshore SE ("Songa Offshore").
The Board of Directors of Songa Offshore has approved the final allocation of the shares offered in the Subsequent Offering based on the allocation criteria set out in the prospectus dated 26 May 2016. Allocation letters will distributed to subscribers today, 15 June 2016. In total, 1,418,100,000 shares have been allocated and will be issued. The following members of Songa Offshore's management and Board, on behalf of themselves or affiliated companies, have been allocated Shares in the Subsequent Offering, each such share allocated at the Subscription Price of NOK 0.15 per Offer Share:
Perestroika AS, represented on the board of Songa Offshore, has been allocated 557,333,333 shares. After the transaction, Perestroika AS owns 996,134,555 shares (including shares held by related parties) and 4,012,351,103 Class A shares. In addition, Perestroika AS holds rights to acquire 3,702,900,039 shares in the Songa Offshore through subordinated convertible bonds and warrants as previously announced.
Mike Mannering, member of the Board of Songa Offshore, has been allocated 851,917 shares. After the transaction, Mike Mannering owns 1,376,917 shares in Songa Offshore.
Arnoud Bobillier, member of the Board of Songa Offshore, has been allocated 1,420,000 shares. After the transaction, Arnoud Bobillier owns 2,130,000 shares in Songa Offshore.
Johan Kristian Mikkelsen, member of the Board of Songa Offshore, has been allocated 1,795,851 shares. After the transaction, Johan Kristian Mikkelsen owns 1,795,851 shares in Songa Offshore.
Bjørnar Iversen (CEO) has been allocated 2,843,333 shares. After the transaction, Bjørnar Iversen owns 4,986,474 shares in addition to 1,083,433 synthetic share options in Songa Offshore.
Jan Rune Steinsland (CFO) has been allocated 1,443,333 shares. After the transaction, Jan Rune Steinsland owns 2,570,560 shares in addition to 541,718 synthetic share options in Songa Offshore.
