                               Issues of Shares




Sopheon plc announces that it has issued 17,441 shares in connection with the
exercise of share options and 7,114 shares in settlement of deferred
consideration arising from the 1998 acquisition of Lessenger Associates BV.
Application has been made to the London Stock Exchange for the shares being
issued to be admitted to AIM and it is expected that dealings will commence on
Friday 1 June 2001.
