DIRECTORS' SHAREHOLDINGS
Sopheon plc announces that it has granted options over Sopheon Ordinary Shares
of 5p each to certain directors as part of an overall grant of options to staff
and management. The options were granted at a price of 16.25p per Ordinary Share
being the closing price on 5 November 2002. As part of this grant, Andrew
Michuda (Chief Executive) has been granted 2,225,000 options, and Arif Karimjee
(Group Finance Director) 300,000 options. Vesting of a proportion of the options
granted to the directors are subject to performance conditions, linked to the
achievement of earnings objectives.
