MATURITY DATE OF CONVERTIBLE LOAN STOCK EXTENDED
Sopheon plc the international provider of software and services that improve the
financial return from innovation and product development investments, announces
that the holders of the Group's £2.6m of 6% convertible unsecured loan stock,
voted through a 75% special resolution at an extraordinary general meeting held
on 30 June 2003, to extend the maturity date of the loan stock by twelve months
to 19 June 2005. A major financial institution and an investment fund hold
approximately 63% of the loan stock, with a further 21% held by the Directors
and the balance with private individuals. As anticipated in the Group's 2002
preliminary statement, the extension was coupled with modification of the
conversion price of the loan stock to 12p per share, being the price achieved in
Sopheon's recent £540,000 share placing, from a previous floor of 31p per share.
The resolution is contingent on shareholder approval for an increase in the
Directors' authority to issue and allot shares, which will be put to
shareholders at Sopheon's Annual General Meeting scheduled for 30 July 2003.

extension, which marks another milestone in our plan for financing the
implementation of our strategies and increasing focus on the exceptional
opportunity represented by Accolade, Sopheon's flagship software solution for
product development. In parallel, we have just announced the signing of a
definitive agreement to sell our US based IM business, and continue to make good
progress on the remaining steps of our previously announced plan - the review of
our German operations, and driving further growth into our software business. We
will update our shareholders on these initiatives as developments unfold.'
