PROPOSED SHARE SUBDIVISION
Notice of a General Meeting, to be held at the Company's Registered Office at 9:30am on 19 December 2014 has today been sent to Shareholders and is now available from the investor section of the Sopheon website at www.sopheon.com, in the form of a circular that describes proposals for a Share Subdivision, following the recent Share Consolidation. Full details of the proposals, including definitions of capitalised terms not defined in this announcement, can be found in the circular. The proposed timetable is given below. Due to differences in the settlement mechanisms between the Netherlands and the UK, the record date set out in the proposed timetable for shares in the Netherlands is two days later than in the UK. Notwithstanding the foregoing, trading in the New Ordinary Shares will commence on both AIM and Alternext on 22 December 2014.
