Result of Open Offer
Sound Oil, the European / Mediterranean focused upstream oil and gas company, announces the result of its Open Offer to raise approximately £1.6 million (before expenses) through the issue of up to 38,349,139 Open Offer Shares at 4.2 pence per New Ordinary Share. The Open Offer was underwritten by Peel Hunt and Simon Davies.
The Company is pleased to announce that it has received valid acceptances and excess applications from Eligible Shareholders significantly in excess of the maximum number of Open Offer Shares available for issue under the Open Offer. Accordingly, a total of 38,349,139 New Ordinary Shares will be issued in connection with the Open Offer.
All valid applications for Eligible Shareholders' Open Offer Entitlements under the Open Offer have been fulfilled. Applications for Excess Open Offer Entitlements were 2.5 times the number of available Excess Shares and therefore will be scaled back pro rata to demand, resulting in Eligible Shareholders receiving approximately 39.64% of Excess Shares applied for.
Application has been made to the London Stock Exchange for the Open Offer Shares, which rank pari passu with the Company's issued Ordinary Shares, to be admitted to trading on AIM. It is expected that Admission will become effective and that dealings will commence at 8.00 a.m. on 4 February 2014. Following the issue of the Open Offer Shares, the Company will have 325,967,683 Ordinary Shares in issue.
There are no shares held in treasury. The total number of voting rights in the Company is therefore 325,967,683 and this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or change to their interest in, the Company under the Disclosure and Transparency Rules.
