                            Acquisition of AMPE Srl, Milan

Spirax-Sarco Engineering plc announces the acquisition, on 31st December 2002,
of AMPE Srl, a small Italian manufacturer of pneumatic and electronic
instrumentation and actuators.  The total investment, including additional
working capital in 2003, will be an estimated €2 million.  The consideration
will be satisfied from existing borrowing facilities.
