                        BOARD APPOINTMENT AND RETIREMENT

Spirax-Sarco Engineering plc, which provides knowledge, service and products,
including peristaltic pumps, worldwide for the control and efficient use of
steam and other industrial fluids, announces, with effect from 26th July 2002,
the appointment of Mr Bill Whiteley as an independent non-executive director and
also the retirement of Mr Chris Sneath as independent non-executive director.

Mr Bill Whiteley (53) is Chief Executive of Rotork plc.

Tim Fortune, Chairman of Spirax-Sarco Engineering plc, said 'We are pleased to
welcome Bill Whiteley to the Board.  He will bring with him a complementary
experience of the engineering industry.  We would also like to thank warmly
Chris Sneath for his valuable contribution over his period of eight years as a
non-executive director'.
