SHARE REPURCHASES
Spirax-Sarco Engineering plc has to date acquired ordinary shares representing
approximately 4.71% of the ordinary shares in issue. Under its existing
authority, Spirax-Sarco Engineering plc intends to implement an on-market
share repurchase programme in order to acquire ordinary shares up to a further
5% of the ordinary shares in issue. The share repurchase programme will be
conducted by Merrill Lynch International and is subject to market conditions.
The share repurchase programme is part of Spirax-Sarco Engineering plc's
strategy of maximising shareholder value. The implementation of the programme
should achieve a more efficient capital structure for the Company and the
enhancement of the Company's earnings per share and cash flow per share for
the benefit of all shareholders.
