SPIRENT PLC - LISTING OF ORDINARY SHARES IN RESPECT OF ZARAK PERFORMANCE
RELATED BONUS
On 13 November 2000, Spirent plc completed its acquisition of Zarak Systems
Corporation ('Zarak') of Sunnyvale, California for 44.7 million Spirent plc
Ordinary shares. At the time of the acquisition, Spirent also announced that
up to a further 1,250,000 Spirent Ordinary shares may be issued over 18 months
from completion to selected Zarak employees as a performance-related retention
bonus. As all of the performance criteria relating to the retention bonus have
now been met in full, Spirent intends to list 1,250,000 Spirent Ordinary
shares. Dealings in the Shares are expected to commence on 12 November 2001.
Accordingly, application has been made to the Financial Services Authority for
the above 1,250,000 Shares to be admitted to the Official List and to the
London Stock Exchange for the above shares to be admitted to trading with
effect from 12 November 2001. The Shares that have been issued rank pari passu
with the existing issued Shares.
