Spirent plc - Notification of Interests of Directors
On 28 February 2001 Orbis Pension Trustees Limited (the 'Trustee'), the Trustee
of Spirent's employee benefit trust established to deliver Spirent Ordinary
shares under various discretionary employee share schemes, purchased 39,266
Ordinary shares in Spirent plc at a price of 380.0 pence per share.
The purchase of shares is in respect of a deferred share bonus award and
pursuant to the terms of an annual incentive bonus plan in which the Company's
Executive Directors (namely Mr Nicholas K Brookes and Mr Eric G Hutchinson) and
certain other senior executives participate. The Trustee will hold the shares
for a period of three years. Entitlement to these shares is therefore deferred
for three years and whilst the Executive Directors do not currently have a
beneficial interest in the shares detailed below they do now have a disclosable
interest in the same:
* Nicholas Brookes: 26,315 shares
* Eric Hutchinson: 12,171 shares
Following the said purchase, the total number of Spirent shares held by the
Trustee is 9,064,985 (representing 0.98% of the issued share capital).
Messrs Brookes and Hutchinson are potential beneficiaries of the Trust (together
with other employees) and are therefore treated under the Companies Act 1985 as
having a deemed interest in the total number of shares held by the Trust. As a
result, the Directors' deemed interests have been increased by 39,266 shares.
