On 18 June 1999 Mr Brookes was granted 219,719 Performance Units at a Unit value
of 166 pence each under the Company's Long Term Share Purchase Plan (the
'Award').
The minimum performance conditions attaching to the first three-year performance
period of the Award were satisfied on 31 December 2001 but the value of the
Award, if any, could not be determined until the third anniversary of the date
of grant, ie at close of business on 18 June 2002. Pursuant to the rules of the
Long Term Share Purchase Plan, as the average daily share price of a Spirent plc
Ordinary share for the 30 days prior to 18 June 2002 was below the Award grant
price of 166 pence, no value arises on the Award and the Performance Units have
therefore lapsed.
Mr Brookes therefore no longer has an interest in the 219,719 Performance Units.
Following this notification, Mr Brookes has a remaining interest in 208,480
Performance Units.
