RESULTS OF 2009 ANNUAL GENERAL MEETING
London, UK - 7 May 2009: Spirent Communications plc ("the Company") (LSE: SPT), a leading communications technology company, announces that at the 2009 Annual General Meeting ("2009 AGM") of the Company held today, all resolutions as set out in the Notice of 2009 AGM dated 10 March 2009 were duly passed by shareholders on a show of hands.
In accordance with Listing Rule 9.6.18, the following resolutions are those which were passed at the meeting concerning special business (as defined by the Company):
Resolution 11: Approval of the authority for the directors to allot securities;
Resolution 12: Approval of the authority for the Company to disapply pre-emption rights;
Resolution 13: Approval of the authority for the Company to market purchase up to 14.99 per cent of its own
shares;
Resolution 14: Approval of the renewal of the Spirent Stock Incentive Plan and authority to grant share incentives
using new issue shares;
Resolution 16: Approval of the authority to adopt New Articles of Association with effect on or from
1 October 2009.
Certified copies of the document setting out the above resolutions passed at the 2009 AGM have been submitted to the UK Listing Authority and will shortly be made available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at The Financial Services Authority, 25 The North Colonnade, Canary Wharf, London, E14 5HS.
