NON-EXECUTIVE DIRECTORS
Non-Executive Director Thomas Thune Andersen will step down from the Board of SSE plc at the end of its Annual General Meeting on 17 July 2014 to take up the post of Chair of the Board of Directors of Dong Energy AS later that month. Thomas joined the Board of SSE in 2009 and is Chairman of its Safety, Health and Environment Committee.
In addition, after over 10 years' service, non-Executive Director Susan Rice will also leave the Board at the end of the AGM. Susan, whose intention to step down from the Board during 2014 was set out in the Annual Report 2013, joined the Board of SSE in 2003 and is Chairman of its Remuneration Committee.
This would leave the Board comprising four non-Executive Directors (appointed in 2009, 2011, 2011 and 2013), two Executive Directors and the Chairman, but an additional non-Executive Director is expected to be appointed in the course of this year.
Lord Smith of Kelvin, Chairman of SSE plc, said:
"I would like to congratulate Thomas on his appointment at Dong Energy. It is a major company in his native Denmark and beyond and, sorry though I am that he will be leaving the Board, where his contribution on a wide range of issues, including safety, is of such value, I fully support his decision to take up this significant opportunity and wish him well."
"I would like to thank Susan for everything she has done since she joined the Board of SSE. In particular, she has brought to the role of Remuneration Committee Chairman diligence and judgement that has been vital at a time when publicly-listed companies are under such scrutiny. I know Susan will continue to play an important part in businesses and organisations throughout the UK."
