Directors' Notification of Dealing in Shares

The Company has today been advised by Bedell and Cristin Trustees Limited,
Trustee of the Scottish and Southern Energy Deferred Bonus Plan (the Trust),
of the purchase of 1,140 ordinary shares of 50p each in the Company on 23 June
2000 at a price of £5.495.  The purchase related to the re-investment of 
dividends received by the Trust.

For Companies Act purposes, the Executive Directors are technically regarded
as having an interest in shares held by the Trust.
