NOTIFICATION UNDER SECTIONS 198 TO 202 OF THE COMPANIES ACT 1985
The Company was notified on 23 April 2001 that Scottish Widows Investment
Partnership Limited being holders of shares in Scottish and Southern Energy
plc, were interested in 25,173,257 ordinary shares of 50p each, being 2.93% of
the issued share capital of the Company.
