SSE plc - Voting Rights and Capital

In conformity with the Financial Services Authority's ('FSA') Disclosure and Transparency Rule 5.6.1 SSE plc ('the Company') announced on 30 March 2012 that its capital consisted of 944,696,833.  SSE plc announces that its capital at 30 March 2012 is restated as 944,710,152.

As at 30 April 2012, the Company announces that its capital consists of 944,714,734 ordinary shares.  Each ordinary share carries the right to one vote in relation to all circumstances at general meetings of the Company.  The Company does not have any ordinary shares in treasury. 

The above figure (944,714,734) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
