Transaction in Own Shares

Scottish & Southern Energy PLC 28 August 2007 Transaction in own shares / Convertible Bond disclosure Scottish and Southern Energy plc announces that Merrill Lynch International has purchased on 28 August 2007, on the Company's behalf, 500,000 of its Ordinary Shares at an average price of £13.943 per share for cancellation. Since it first purchased its own shares in this financial year, on 7 June 2007, the Company has now purchased 11,185,000 of its own shares for cancellation at a weighted average price (before costs) of £14.392 and an aggregate consideration of £160,973,735. The Company also has an outstanding 3.75% convertible bond which matures on 29 October 2009, with an initial issue size of £300,000,000. To date, holders have excercised their option to exchange their bonds for Ordinary Shares in the Company at £9 per share, in respect of bonds totalling £133,593,000 nominal value. New shares issued as a consequence of these conversions total 14,843,655. A nominal value of £166,407,000, or 55.47% of the original bond issue, remains outstanding.
