AGM Update Statement
In line with Provision 4 of the 2018 UK Corporate Governance Code (the "2018 Code"), the Board has released this statement to provide an update to shareholders on the actions taken following the outcome of Resolution 15: Approval of the general allotment authority at the 2021 AGM. The resolution at the 2021 AGM sought approval for allotment authorities in line with the Investment Association's Share Capital Management Guidelines. Following the outcome in respect of this resolution (21.8% against), the Board has sought to understand further the voting. The Company understands that the issues raised by a very small number of shareholders related to overseas internal voting policies, which set a lower allotment threshold compared to UK market practice, and to the use of our allotment authority in 2020. Since March 2020, SSP has been significantly impacted by COVID-19. In response, the Board has taken all available actions to protect profit and preserve cash, including rapidly raising additional capital in March 2020 through a placing to address the potential liquidity issues that the Company faced at the time. Following the placing, the additional funds raised in April 2021 were by way of a pre-emptive rights issue. Shareholder consultation was undertaken ahead of both the placing in 2020 and the recent rights issue. In line with the 2018 Code, a final summary of the above matter will be included in the 2021 Annual Report. CONTACTS:
