Director/PDMR Shareholding

St. James's Place plc ("SJP")

SJP was notified on 7 December 2009 of the following changes in SJP shares held by Persons Discharging Managerial
Responsibility ("PDMR") named below.

SJP Executive Share Option Scheme
Sonia Gravestock exercised on 4 December 2009 7,500 share options under the above scheme (granted at an exercise price
of 223.5p per share), and on the same day sold 7,182 SJP ordinary shares at a price of 242.33p per share to meet income
tax and National Insurance liabilities due on exercise plus dealing costs and retained 318 ordinary shares in her own
name.

ISA Transfer
Bill Tonks notified SJP on 7 December 2009 that on 4 December 2009 he sold 2,964 SJP ordinary shares at a price of
242.97p per share and a further 4,114 SJP ordinary shares at 248p per share.  He then bought back 4,055 SJP ordinary
shares on the same day at 249p per share via an Individual Savings Account (ISA) in his own name.  In addition, his
wife, Mrs A M Tonks sold 4,131 SJP ordinary shares on 4 December 2009 at 244.44p per share and bought back 4,177 SJP
ordinary shares on the same day at 244.23p per share via an ISA in her name.

The PDMRs interests in ordinary shares of SJP after the above transactions are as follows:
