St. James's Place Capital plc ('SJPC') was today notified of the following
interests in ordinary shares of 15p in SJPC held by the Directors of SJPC
named below.  These interests result from the transfer of shares to the
Directors on 28 March 2001 by JRA Group (Channel Islands) Limited, trustees of
the SJPC Deferred Bonus Scheme. These Directors were previously interested in
shares held by JRA Group (Channel Islands) Limited as one of a number of
potential discretionary beneficiaries.

The shares are held by SJPC on behalf of the Directors for a restricted period
ending on 28 March 2004.

With the exception of the changes notified below, the Directors interests in
ordinary shares of SJPC are unchanged.

In addition, SJPC was today notified of an interest in 57,831 ordinary shares
of 15p in SJPC held by Michael Wilson, an executive Director of SJPC.  This
interest results from the transfer of shares to Mr Wilson on 28 March 2001 by
S G Hambros Trust Company (Guernsey) Limited, also trustee of the SJPC
Deferred Bonus Scheme. Mr Wilson was previously interested in shares held by S
G Hambros Trust Company (Guernsey) Limited as one of a number of potential
discretionary beneficiaries.

The shares are held by SJPC on behalf of Mr Wilson for a restricted period
ending on 28 March 2004.

With the exception of the changes notified in this announcement, Mr Wilson's
interests in ordinary shares of SJPC are unchanged.
