St. James's Place Capital plc ('SJPC')
Messrs David Bellamy, Ian Gascoigne, Martin Moule and Mike Wilson, Directors of
St. James's Place Capital plc ('SJPC') have today notified SJPC of the following
changes in options held by them over shares in SJPC:
On 1 April 2003 the abovementioned Directors were granted options under the SJPC
Sharesave Share Option Scheme to acquire ordinary shares of 15p each in SJPC at
an exercise price of 72p per share as set out below:

Ian Gascoigne 13,125 1 May - 31 October 2006

Furthermore, on 28 March 2003 the abovementioned Directors cancelled options
granted under the SJPC Sharesave Share Option Scheme on 11 September 2002 to
acquire the following ordinary shares of 15p each in SJPC, with an exercise
price of 104p per share:

With the exception of the changes notified above, the interests of Mr Bellamy,
Mr Gascoigne, Mr Moule and Mr Wilson in the shares of SJPC are unchanged.
