St. James's Place Capital plc ('the Company')



Mr Mark Lund notified the Company today that he has acquired 149 ordinary shares
of 15p each in the Company at a price of £1.69 each.  These shares were acquired
on 18 May 2004 through the reinvestment of the dividend paid on Mr Lund's
beneficial holding of 16,941 ordinary shares in the Company.



Accordingly, following this transaction, Mr Lund's interests in ordinary shares
of the Company are as follows:



Beneficial:                        17,090

Non-beneficial: nil



With the exception of the changes notified above, Mr Lund's interests in
ordinary shares of the Company are unchanged.
