St James's Place Capital plc ('SJPC') announces the following Board changes:

Lord Stevenson of Coddenham has resigned as a non-executive Director of SJPC
with effect from 21 February 2002, in the light of his other commitments.  The
Board are, however, delighted to announce that Lord Stevenson has accepted the
honorary post of President of SJPC.

Mr Phil Hodkinson has been appointed a non-executive director of SJPC with
effect from 21 February 2002.  Mr Hodkinson is Chief Executive of the Insurance
& Investment Division of HBOS plc.

There are no circumstances to be disclosed in accordance with Listing Rule 6.F.2
for Mr Hodkinson.

At the date of his appointment, Mr Hodkinson had no interests in the ordinary
15p shares of SJPC.
