St. James's Place Capital plc ('SJPC'): non-executive board changes



SJPC is pleased to announce a number of non-executive board changes which, as
indicated in the 2004 Annual Report, are intended to further strengthen the
composition of the Board and secure compliance with the Combined Code provision
that at least half the board  (excluding the Chairman) comprises independent
non-executive directors.



SJPC announces the appointment of Roger Walsom as an independent non-executive
director with effect from 22 July 2005.   Mr Walsom retired as a full-time
Partner of Ashurst, a leading City law firm, in April 2005, having joined them
from another firm as a solicitor in 1983.  He became a senior associate at
Ashurst in 1986 and a Partner in 1988, specialising in the financial services
industry.  He continues to work as a part-time consultant for Ashurst and is a
non-executive director of The Pensions Regulator.



There are no circumstances to be disclosed in accordance with Listing Rule
9.6.13R for Mr Walsom.  At the date of his appointment to SJPC, Mr Walsom had no
interests in ordinary 15p shares of SJPC.



SJPC also announces that Phil Hodkinson and Grenville Turner, being two of the
non-executive Directors appointed by HBOS plc, have resigned with effect from 22
July 2005.   John Edwards has been appointed as a non-executive director of SJPC
from that date.  Mr Edwards was General Manager for Marketing and Sales with
Clerical Medical when it became part of the Halifax Group in 1997.  He has since
held various positions within HBOS plc, the latest being his appointment in July
2005 as Chief Executive of the Insurance and Investment Division.



There are no circumstances to be disclosed in accordance with Listing Rule
9.6.13R for Mr Edwards.  At the date of his appointment to SJPC, Mr Edwards had
no interests in ordinary 15p shares of SJPC.



Finally, SJPC announces that Charles Bailey will resign as a non-executive
director with effect from 29 September 2005.

contributions to the Board over the years'.
