Directorate
St. James's Place Capital plc ('SJPC') announces the following Board changes:
Mr James Crosby and Mr Jim Spowart have been appointed non-executive directors
of SJPC with effect from 29 June 2000, following their nomination by Halifax
Group plc (along with Lord Stevenson who is already a non-executive director
of SJPC) in accordance with the Relationship Agreement dated 21 March 2000
which entitles Halifax to nominate up to three directors to the SJPC Board.
Mr Crosby is Chief Executive of Halifax Group plc. Mr Spowart is Chief
Executive of Intelligent Finance, a division of Halifax plc.
There are no circumstances to be disclosed in accordance with Listing Rule
6.F.2 for either director.
Mr Roy Nicolson, who represented Prudential on the SJPC Board, has resigned as
a non-executive Director of SJPC with effect from 29 June 2000.
Directors Shareholdings
Mr James Crosby and Mr Jim Spowart notified the Company on 29 June 2000 of
their interests in ordinary 15p shares of SJPC as at 29 June 2000, their date
of appointment to the Company.
Following their appointment as directors of SJPC, Mr Crosby and Mr Spowart
became potentially beneficially interested (solely by virtue of their
appointment and as applicable to other SJPC directors) in 408,915 ordinary 15p
shares of SJPC held by JRA Group (Channel Islands) Limited, which is the
trustee of an employee share benefit trust of which employees and directors of
group companies and their spouses and children under 18 are within the class
of beneficiaries. It is not intended that the trustee of the trust will
allocate such shares to non-executive directors of the Company, including Mr
Crosby and Mr Spowart.
Lord Stevenson, a director of SJPC, notified the Company on 29 June 2000 that
the trustees of a trust of which his minor children are beneficiaries (but of
which Lord Stevenson is neither a trustee nor a beneficiary), accepted the
Partial Offer made by Halifax Group plc in respect of 459,496 ordinary shares
of 15p each at the Partial Offer price of 300 pence each.
Lord Stevenson's interests in ordinary shares of SJPC following this
transaction are:
Non-Beneficial: 240,504
