Announcement of Tender Offer

US$400,000,000 Undated Primary Capital Floating Rate Notes (Series 3)

US$200,000,000 Undated Primary Capital Floating Rate Notes (Series 4)

Standard Chartered PLC (the 'Company') has today invited holders of the Notes to tender any and all of the Notes for repurchase by the Company for cash (the 'Offer').

The Offer is being made upon the terms and subject to the conditions contained in the tender offer memorandum dated 14 November 2008 (the 'Tender Offer Memorandum'), copies of which may be obtained free of charge from the Dealer Manager, JPMorgan Cazenove Limited, or the Tender Agent, Deutsche Bank AG, London Branch.

The Offer begins today, 14 November 2008 and will expire at 5.00 p.m. Central European Time on 3 December 2008, unless extended, re-opened or terminated as provided in the Tender Offer Memorandum.
