Voting Rights and Capital

The following notification is made in accordance with the UK Financial Conduct Authority's Disclosure Guidance and Transparency Rule 5.6.1.

As of 31 May 2024, the issued share capital of Standard Chartered PLC consisted of:

2,569,282,861 ordinary shares of US$0.50 each with voting rights of one vote for every share held;

 

99,250,000 81/4 per cent non-cumulative irredeemable preference shares of £1 each with no equity voting rights;

96,035,000 73/8 per cent non-cumulative irredeemable preference shares of £1 each with no equity voting rights;

7,500 6.409 per cent non-cumulative redeemable preference shares of US$5 each with no equity voting rights;

7,500 7.014 per cent non-cumulative redeemable preference shares of US$5 each with no equity voting rights.

The total number of voting rights in Standard Chartered PLC as of 31 May 2024 was 2,569,282,861. Following Standard Chartered PLC's annual general meeting held on 10 May 2024, Standard Chartered PLC's share voting structure has been amended so that ordinary shareholders have one vote for every ordinary share they hold. This figure for the total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Standard Chartered PLC under the UK Financial Conduct Authority's Disclosure Guidance and Transparency Rules. Standard Chartered PLC holds no shares in Treasury.
