Stem Cell Sciences PLC (the "Company")
NEW ISSUE AND SHARE BUYBACK
The Company has made an application for 1 ordinary share of £0.01 ("New Share")
to be admitted to the Alternative Investment Market ("AIM") on 9 November 2006.
In addition the Company will buy back 22,301,194 Deferred Shares of £0.49 each
(the "Buy-Back") with effect from 9 November 2006. The admission of the New
Share and the Buy-Back are both required in connection with the capital
reorganisation of the Company pursuant to which each of the Company's Ordinary
Shares, previously of 50p in nominal value, have been subdivided into one new
Ordinary Share of 1p in nominal value and one Deferred Share of 49p in nominal
value. All such Deferred Shares bought back by the Company have been cancelled.
Shareholders should note that the reduction in the nominal value of each
Ordinary Share does not result in a change in the number of Ordinary Shares in
issue nor in any change in the underlying value of the business and assets of
the Company.
