£250,000,000 1.625 per cent. Secured Sustainability Notes due 2036

£200,000,000 5.034 per cent. Secured Bonds due 2042

£250,000,000 3.375 per cent. Secured Bonds due 2045 (together, the Bonds)

Notice is hereby given to the holders of the Bonds that the Stonewater Group is in discussions with Puttenham and Wanborough Housing Society Limited (Puttenham & Wanborough), a community benefit society with registered number 16049R and a registered provider of social housing with registration number L0908.

The current intention, subject to, amongst other things, completion of due diligence and funder consents, is for Puttenham & Wanborough to join the Stonewater Group via a Transfer of Engagements into Stonewater (5) Limited on or prior to 31 March 2024.

Puttenham & Wanborough is a housing society that owns 15 affordable homes in the villages of Puttenham & Wanborough.

Stonewater Limited will remain the parent of the Stonewater Group.

Furthermore, notice is hereby given to the holders of the Bonds that the Stonewater Group is in discussions with Bristowe (Fair Rent) Housing Association Limited (Bristowe), a community benefit society with registered number 21127R and a registered provider of social housing with registration number L1990.

The current intention, subject to, amongst other things, completion of due diligence and funder consents, is for Bristowe to join the Stonewater Group via a Transfer of Engagements into Stonewater (5) Limited on or prior to 31 March 2024.

Bristowe is a housing association with 75 properties in the Greater Bristol area.

Stonewater Limited will remain the parent of the Stonewater Group.
