of the Company, ceased to be interested in 1,000 shares of 2.5p in the capital
of the Company having declared on 1 May 2001, for nil consideration, that he
holds 250 shares in trust for each of four grandchildren.

Donald Waters remains beneficially interested in 391,886 shares representing
0.12% of the issued share capital of the Company and £1,003,985 6% Convertible
Unsecured Loan Stock 2007.
