SMG Chairman to Step Down

SMG plc announces today (26 January 2004) that its Non-Executive Chairman, Don
Cruickshank, has decided to step down from his position following the Group's
Annual General Meeting, scheduled for 4 June 2004.

The company confirms that it has initiated a recruitment process to secure Don's
successor and has appointed search consultants, Whitehead Mann. It is
anticipated that a successor will be identified before the Group's AGM.
