SMG Shareholders Approve Ginger Media Acquisition

Scottish Media Group plc ('SMG') announces that, at its Extraordinary General
Meeting held today (31 January, 2000), the resolution proposed in connection
with the acquisition of the entire issued share capital of Ginger Media Group
Ltd ('Ginger Media') was approved.

The acquisition is still subject to The Radio Authority announcing that the
acquisition could not be expected to operate against the public interest. 
This review process is expected to be completed in March or April 2000. 

Speaking after the meeting, SMG Chairman, Don Cruickshank, said:

'The acquisition of Ginger Media will transform SMG's position in the UK media
market and will create significant value for our shareholders.  I am delighted
at the level of shareholder support we have received today and I hope to be in
a position to announce the completion of this very significant deal in the
near future.'
