STV Group plc announces that a circular has been issued to shareholders in relation to the sale of Pearl & Dean Cinemas Limited to Image Limited, announced on 21 April 2010.

The circular includes the notice convening the General Meeting of shareholders to be held at 11 am on Wednesday 12 May 2010 at which approval for the sale of Pearl & Dean will be sought. The meeting will be held at STV Group plc, Pacific Quay, Glasgow, G51 1PQ.

Copies of the circular have been submitted to the UK Listing Authority and are available for inspection during normal business hours on any weekday (public holidays excepted) at the UK Listing Authority's document viewing facility, which is situated at:
