Please be advised of the following changes with respect to officers:

1.   Thomas A. Bogart's title changed to Executive Vice-President and Chief
     Legal Officer effective January 1, 2001

2.   John R. Wright's title changed to Executive Vice-President and Chief
     Information Officer effective January 1, 2001.

3.   Robert Pattillo resigned as Vice-President, Public & Corporate Affairs
     effective March 30, 2001.


Please be advised of the following changes with respect to the directors of the
above-noted company:

1.   Alfred Powis retired from the Board of Directors effective April 25, 2001

2.   Jeannine Guillevin Wood retired from the Board of Directors effective 
     April 25, 2001; and

3.   Madeleine M. Paquin was elected a Director effective April 25, 2001.
