Director/PDMR Shareholding
 
The Company was informed on 2 May 2008 of the following  transactions
in the ordinary  shares of  20p each in  the capital  of the  Company
('Ordinary Shares'):
 
On 2 May  2008, Peter Rae,  non-executive director, purchased  25,000
Ordinary Shares at  a price of  110 pence per  share. Following  this
transaction Mr  Rae's  total  interest  in  the  Company  is  145,000
Ordinary Shares representing  0.86 per cent.  of the Company's  total
issued share capital.
 
On 2  May 2008,  Nigel Poultney,  Finance Director,  purchased  8,000
Ordinary Shares at  a price of  120 pence per  share. Following  this
transaction Mr Poultney's  total interest in  the Company is  173,000
Ordinary Shares representing  1.02 per cent.  of the Company's  total
issued share capital.
 
On 2 May  2008, Glenn  Robinson, Director,  purchased 8,000  Ordinary
Shares at a price of 125 pence per share. Following this  transaction
Mr Robinson's  total  interest in  the  Company is  168,000  Ordinary
Shares representing  0.99 per  cent. of  the Company's  total  issued
share capital.
 
Each of  Mr  Robinson's  and Mr  Poultney's  holdings  above  include
160,000 shares held in the Quadnetics Group Employee Share Scheme.
