                         Directors' Grant of Options


On 27 December 2001 the following options over the Company's ordinary shares
of 20p each ('Ordinary Shares') were granted to directors for nil
consideration at a subscription price of 92.5p under the Company's new EMI
Share Option Scheme.

NC Poultney         85,135


These options are exerciseable between 28 December 2003 and 25 December 2011.

In addition, in order to increase the number of options available, Mr DJ
Coghlan, Chief Executive of the Company, has surrendered his rights to options
over 89,474 Ordinary shares for nil consideration.


Following these grants and surrender, RC Singleton, NC Poultney and DJ Coghlan
will have options over the following numbers of Ordinary Shares:
