QUADNETICS GROUP PLC (the 'Company')

ISSUE OF SHARES

Further to the announcement made on 22 April 2005 concerning the acquisition of
Alphapoint LLC, the Company announces that it has today allotted, conditional
upon completion, 99,579 new ordinary shares in the Company.

Application will be made for these shares to be admitted to AIM and it is
expected that Admission will occur on 25 May 2005.
