Quadrant Group PLC 26 March 2002 QUADRANT GROUP PLC RESULT OF EGM, COMPLETION OF DISPOSAL AND BOARD CHANGES At the EGM held earlier today, each of the proposed resolutions, as follows, were passed: 1. To approve the disposal of the Company's interest in its Flight Simulation Businesses, Quest Flight Training Limited and Quadrant Systems Limited, to a company connected with directors David Coghlan and Jeffrey Sandiford; 2. To approve the transfer of 21% of the share capital of Quadrant Video Systems plc and Synectic Systems Limited to four members of the management team, including a director of the Company, Russell Singleton; 3. To rename the Company Quadnetics Group plc; and 4. To grant relevant share capital authorities under the Companies Act. Subsequently, the following matters as set out in the Circular sent to shareholders dated 28 February 2002, have been completed: 1. The sale of Quadrant Systems Limited and Quest Flight Training Limited pursuant to the Flight Simulation Agreement, and the sale of 21% of the issued share capital of Quadrant Video Systems plc and Synectic Systems Limited pursuant to the CCTV Security Agreement have been completed. 2. David Coghlan has resigned as Group Chief Executive and remains a non executive director, and Russell Singleton moves to become Group Chief Executive. Jeffrey Sandiford has resigned as a Director of the Company. 3. The Company has applied to the Registrar of Companies to register the change of name of the Company to Quadnetics Group plc. 4. Russell Singleton has been granted an option, pursuant to the CCTV Security Agreement, over up to 500,000 ordinary shares in the Company.
